Terms of Service

1. Acceptance

By accessing or using ValueColony (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

ValueColony is a marketplace that connects startup builders with growth operators and provides tools to manage partnerships, including messaging, agreement terms, and revenue sharing via Stripe Connect.

3. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You're responsible for activity under your account and for keeping your credentials secure.

4. Marketplace role

ValueColony is a neutral platform. We are not party to the agreement between any builder and operator. We do not guarantee performance, results, or revenue. Each partnership is between the two parties involved.

5. Payments & fees

Revenue events are processed via Stripe. ValueColony charges a platform fee (default 10%) deducted from each transaction before splits. Payouts are routed by Stripe to each party's connected Stripe account.

6. Acceptable use

You agree to follow our Acceptable Use Policy. We may suspend or terminate accounts that violate it.

7. Intellectual property

You retain ownership of content you submit. You grant ValueColony a worldwide, non-exclusive license to host and display it for the purpose of operating the Service.

8. Disclaimers

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, ValueColony disclaims all warranties, express or implied.

9. Limitation of liability

To the maximum extent permitted by law, ValueColony's aggregate liability for any claim arising out of the Service is limited to the greater of (a) the platform fees paid by you in the prior 12 months or (b) USD $100.

10. Termination

You may close your account at any time. We may suspend or terminate access for breach of these Terms or to comply with law.

11. Changes

We may update these Terms; material changes will be communicated via email or in-app notification.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which ValueColony is incorporated, without regard to conflict-of-law principles.
